BACKGROUND OF THE PACIFICA FOUNDATION
Pacifica Foundation is a 501(c)(3) radio broadcasting organization with five member stations in New York, Houston, Washington D.C., Los Angeles, and Berkeley, California. We employ 179 full-time staff and each station also utilizes an average of 200 unpaid staff. We are a membership-based organization and our five stations have approximately 95,000 members nationwide. In September, 2009, members in each of the five signal areas will elect nine (9) Listener-member delegates and three (3) staff delegates to sit on their local station boards (LBSes). The returns of candidate choices by Listener-members nearly always exceed the quorum of 10%.
All our elections are by single transferable vote (STV) and you and the election management services vendor must be capable of handling STV ballots involving up to 50 candidates. All of Pacifica's elections to date have used Choice Plus Pro ("CP Pro") as the tally software. The software and documentation can be downloaded without charge from the Choice Plus website, <http://www.votingsolutions.com/>.
IMPORTANT: The Pacifica Bylaws at Article Fifteen "Voting Methods" (attached hereto) specify that last-place ties be broken by lot (e.g. coin toss).
Our elections process can be divided into four parts:
1. Nominating Process 2. Campaign 3. Balloting 4. Tabulation and Certification
Most events and activities pertaining to local Nominations and Campaigns fall to the Local Election Supervisor. Most of the events and activities pertaining to Balloting and Tabulation fall to the National Election Supervisor.
The primary duty of the NES and the LESes is to hold a fair election in accordance with the Pacifica Bylaws. The NES and LESes need to be very familiar with all portions of the Bylaws pertaining to election of delegates. Questions and challenges (and resultant extra work for the NES or LES) generally occur if a candidate or candidate's supporters feel the NES or LES (or on-air hosts of programs on our stations) are not being fair, competent, or following the Bylaws. Providing assurances that everything is being done fairly and impartially will help minimize an increased workload on the NES and LESes. There will be cases where the Bylaws are silent about some questions, and here it's especially important to stay as impartial as possible and avoid the appearance of taking sides.
The period between the close of nominations and when the ballots and candidate information is sent out is usually very busy, partly because most of the candidates tend to turn in their paperwork on the last day. Therefore, it's important to do as much preparatory work as possible before the close of nominations.
SERVICES TO BE PERFORMED
Your proposal will need to provide the following services:
1.As National Election Supervisor (NES) you are to appoint, supervise and pay a Local Election Supervisor (LES) at each of five station signal areas: Berkeley, CA, Los Angeles, CA, New York, NY, Washington D.C., Houston, TX.
The NES and LESes shall carry out all responsibilities assigned to those positions by the Pacifica Bylaws. For example, the NES shall supervise the nomination process and certify the "fairness" of the election, and each LES will verify and certify eligibility for candidates in two categories (Listener-sponsor or Staff) for the five signal areas. Each LES shall also assemble a pamphlet with statements from all verified candidates for that local station board.
1b. Clean up the mailing lists via NCOA, etc. and de-dupe by removing staff addresses from the Listener-member addresses, etc.
2. Coordinate and supervise candidate forums both for live broadcast and at in-person community events with the assistance of local station personnel. Monitor and enforce fair campaign provisions, including processing complaints of violations.
The duties of the NES and the LESes will also include the following: - Carry out all responsibilities assigned to those positions by the Pacifica Bylaws. (Please let us know if you have questions or need clarifications here.) (NES & LES)
- Clean up the member and staff mailing lists via NCOA, follow-up phone calls, etc., remove duplicates and correct invalid addresses from the Listener-member and staff address lists. This is needed both to enable accurate verification of candidate eligibility, and to ensure that all eligible listeners and staff get one, and only one, ballot. Our overworked staff at the stations usually do not have the lists cleaned up adequately for this purpose. In addition, provide an easy way for listeners to verify whether their membership is current, and/or to notify them if it's not. (primarily LES)
- Market the nomination period and election rules to encourage applications before the nomination deadline, working with staff at each station, using foundation resources such as air time, station web sites, and station e-mail lists. Get candidate information and questionnaire responses electronically from as many candidates as possible. (Pacifica can supply candidate forms and questionnaires used previously, as examples.) At some stations (KPFT and WPFW), we have sometimes had difficulty getting enough candidates to fill all the open listener positions, while at other stations there have been many more candidates than positions. (LES)
- Review applications for completeness & verify candidate petition signatures, review all statements for fairness and adherence to Foundation rules and deadlines. (LES)
- Supervise the nomination process. (primarily LES)
- Verify and certify eligibility for candidates in two categories (Listener-sponsor or Staff) for the five signal areas. (LES)
- Facilitate the Recording of listener candidate audio statements for broadcast (LES)
- Work with station personnel to ensure that listener candidate statements are broadcast regularly, with fairness to all candidates, and enforce fair campaign provisions (need to provide link) (LES)
- Coordinate and supervise at least two candidate forums both for live broadcast and at in-person community events with the assistance of local station personnel, well before the end of the voting period. (LES)
- Handle questions and challenges related to the candidates, to equal and fair broadcast of their statements, etc., as well as to the elections process, and forward some as needed to the NES. (LES)
- Monitor and enforce fair campaign provisions, including processing complaints of violations. This can include, for example, levelling sanctions when a programmer indicates a preference on the air for a particular candidate or otherwise gives a candidate an advantage over other candidates. Enforcement of sanctions can involve working with station personnel, including both volunteer staff and paid staff. We can provide more details including the Fair Campaign Provisions to which each candidate must agree, and to which each on-air programmer is expected to follow even if they don't sign the agreement. It's also best to discreetly publish a schedule of sanction levels on the election web site, in advance of the election. There have been several cases, for example, where the LES had to insist that station management ban certain popular programmers from being on the air for one or more of their regular shows, due to violations of the fair campaign provisions. This is another place where extra time spent before the campaign period, in working with station personnel, will simplify the LES's work. (LES)
- Ensure and certify the fairness of the election. (NES & LES)
- Assemble information for each pamphlet (two for each station) with statements from all verified candidates for that Local Station Board. (LES) Ensure that this information is also published on the appropriate election web pages for each station. (technical, under direction of NES)
- Design (subject to Foundation review), print, and mail paper ballots, simple voting instructions, candidate statement pamphlets (10 different ones), and a fundraising appeal. All materials, with the possible exception of the actual ballots, shall be printed at a union shop. (Vendor providing the election management services)
- The candidate pamphlet should be designed to minimize printing and mailing expense. If it is feasible to use a hybrid election (with both mail-in plus online voting), then it's likely that we will only need to print and mail the pamphlet to a fraction of the members, thus reducing those costs, but we would still need to mail to everyone (in accordance with our bylaws) a notice of how they can either vote online or request a hard copy ballot and election packet by mail. We will need to work out these details before the nomination period. (NES & LES)
- Mail replacement ballots (approximately 5% of original mailing), correct member addresses as necessary, and keep track of such mailings. (probably LES)
- Work with the station to air Get-Out-The-Vote broadcasts, including additional ones after the voting deadline, if needed to achieve quorum. (LES)
- Prepare detailed election web pages for all 5 stations. These web pages should be made public no later than the beginning of the Nomination period and may need to be updated daily. Early information for the web pages will include information on becoming a candidate and why one may want to become a candidate, while later information will include all information about each candidate, their audio statements (as broadcast periodically on their station), how to vote online (optional) or how to request a ballot or replacement ballot by mail, and finally the election results and ballot images. (Vendor providing the election management services; under direction of the NES)
- THIS AND THE NEXT THREE ITEMS WILL NOT BE NECESSARY UNLESS THE PACIFICA NATIONAL BOARD AUTHORIZES ELECTRONIC BALLOTING: Devise and post optional web-based balloting for the ten (10) different elections. Permit the voter to go to one of ten (10) different web pages and open the one page in which they are eligible to vote as evidenced by entering a valid ID number. (Vendor; under direction of the NES)
- (optionally) Post on the Pacifica web site an interactive voting page with instructions so voters can enter their valid ID numbers to access one of the ten (10) different electronic ballots tp cast their votes electronically. (Vendor; under direction of the NES)
- (optionally) Convert the accepted electronic ballot to a line in a text ballot file for input into the tally program. (must provide CP Pro compatible files for verification, even if the vendor uses a different program for their counting) (Vendor; under direction of the NES)
- (optionally) Integrate ballot files derived from paper ballots with files created by on-line voting. (Vendor; under direction of the NES)
- Set up vote counting arrangements in the local station area, and publicize it. (LES)
- Create and save all the ballot files in CP Pro format (Vendor; under direction of the NES)
- Prevent ballot stuffing; verify valid ballots. (Vendor; under direction of the NES)
- Verify that quorum (10% of Listener-member rolls) has been achieved at each region by appropriate deadline(s). (NES)
- If quorum has not been achieved near the end of the normal voting period, perform additional get-out-the-vote efforts as needed (on-air announcements, possibly reminder postcards) and if needed, extend the ballot deadline.
- With LESes and volunteers from each station, perform ten (10) accurate STV tallies with observers for a total of ten elections (2 per region). This must be done in the city for each station, with observers, as transparently as possible. (NES and LES)
- Resolve questionable ballots. (Vendor; under direction of the NES)
- Scan the validated paper ballots, converting each one into a ballot image file. Then, using commercial or your own software, convert each image file into whatever form your tally program requires. It is very desirable for the scanned ballot images to be made available in electronic form and posted on the election web site, so each voter can verify that his/her ballot was received and counted (technical, under direction of the NES)
- Copy ballot files to appropriate folders to be referenced individually by filename in the tally software configuration file (e.g. CP Pro's .in file) (Vendor; under direction of the NES)
- Distribute CD-R disks with ballot images, derived ballot and configuration (.in) files, and round-by-round results to the five LESes, General Managers, and chairs of the Local Station Boards, and post them on the election web site for at least a few weeks following the election, (Vendor; under direction of the NES)
- Certify the election results. (NES)
- Publish within thirty (30) days of the close of elections a comprehensive summary of the elections, including problems encountered and solutions devised.

1. Position Reports to: The Executive Director is selected, supervised and discharged by, and reports to, the collective body of the Pacifica National Board of Directors (PNB).
2. Definition: The Executive Director (ED) is the President of the Pacifica Foundation, General Manager, Chief Executive Officer, and Chief Administrator, and is responsible for management activities of the Foundation, including hiring of Station Managers of the five sister stations and National Staff, with the exception of the Chief Financial Officer (CFO); implementation of Board policies and bylaws, and oversight of fund raising, development, national programming, financial stability, physical integrity, and compliance with CPB and FCC rules and regulations.
The National Finance Staff works under the direction of the CFO.
All Pacifica Staff, including the CFO and other National Finance Staff, report to the ED. Both the CFO and the ED report independently to the board.

RESPONSIBILITIES AND DUTIES:
GENERAL ADMINISTRATION
4. Responsible for fund raising, such as oversight of grant writing, major donor events, direct mail campaigns etc.
5. Managing and supervising National Staff and General Managers to provide for the effective operation of the Foundation’s public radio stations in compliance with the objectives and policies of the Board of Directors and consistent with the Pacifica mission.
6.Appointing and facilitating the work of a National Election Supervisor in each year when elections for delegates are held.
7.Selecting General Managers for each sister station upon vacancies, from candidates presented by the Local Station Boards (LSB).
8.Selecting Interim General Managers in accordance with Pacifica bylaws provision for selecting GMs. In the case of emergency, the ED may appoint from non-union, management staff an acting GM.
9. Hiring and coordinating supervised National staff, including the Human Resource Director, Pacifica Radio Archives Director, Assistant to the Director, National Technical Director, Affiliates Coordinator, Webmaster, Network Programming Coordinator, News Bureau Director, Administrative Assistant, National Development Director and others as approved by the PNB.
10. Conducting annual evaluations of supervised National Staff and General Managers, with recommendations in consultation with Human Resources where appropriate.
GOVERNANCE
11. Attending and participating in meetings of the PNB and Coordinating Committee, including teleconferences, regular quarterly PNB meetings, and special meetings.
12. Ensuring the effective organization of in person PNB meetings, including Board packets, in cooperation with the Board chair.
COMMUNICATIONS
13. Conforming to the communication policies established by the Board, including accurate reports and providing appropriate information for Directors upon request.
14. Supporting the PNB in fulfilling its governance role through regular communication with the Board and its officers.
HUMAN RESOURCES
15. Ensuring that stations and the network are managed according to state, FCC and CPB requirements, including state and Federal labor and employment regulations, and that any grievances are addressed and resolved in a fair and timely manner.
16. Participate in Union collective bargaining agreement negotiations and respond to Union requests in collaboration with the General Managers, CFO and Human Resources as appropriate.
17. Supervising implementation of Americans with Disabilities Act (ADA) compliance.

FINANCES

LEGAL
31. Managing litigation and other legal matters, in consultation with Foundation counsel and other attorneys as needed. The ED and Foundation counsel are responsible for reporting all legal matters to the PNB.
32. Developing, monitoring and enforcing procedures and policies, and to maintain confidentiality, on legal, personnel and other appropriate matters in collaboration with the Human Resources Director.
PROMOTION
33. Serving as spokesperson for the Pacifica Foundation, representing it in business relationships with other national and state nonprofits, government agencies, the media, professional organizations, and similar groups.
34. Expanding positive public awareness of Pacifica through community events, media outreach efforts, and development of promotional campaigns.
EXPERIENCE/EDUCATION
35.The ideal candidate will possess a college degree and at least 10 years of relevant radio broadcast experience, including experience as a 501(c) (3) non-profit manager, or similar position, five years preferably as a General Manager of a noncommercial radio broadcasting station in a major market or similar position, and a proven track record of fund raising.
