PACIFICA NATIONAL BOARD OF DIRECTORS

Under the Foundation bylaws, a Delegate must have served at least one  year as a Delegate to be eligible for election to the office of Director. The Delegates at each station elect four Directors each year for one-year terms, one of whom is a staff representative Delegate.  The bylaws do not address what is to be done if no eligible candidate is willing to serve in a membership category at a station. Eventually, the situation will likely arise, probably in the staff category, where Delegates from a station will waive the one-year service requirement in order to maintain their full complement of Directors.

In addition to Directors chosen by the Delegates, the PNB elects two Affiliate Representative Directors and may optionally resolve to add a maximum of one additional seat for an At-Large Director.

PNB STANDING COMMITTEES

Under the Rules of Order, committee members serve until replaced.  At it's January 2008 PNB meeting, the Pacifica National Board replaced the Director members of its standing committees.  The Delegate members of these committees serve until replaced by their Local Station Boards, though some are no longer Delegates. Most or all LSBs have not yet elected replacement Delegate representatives to PNB committees for the new term and this is a high priority. Except for the Coordinating Committee, the Finance Committee, the Personnel Committee, the Committee to Investigate Charges of Racism and Sexism, and the Committees of Inclusion, each standing committee may have two Delegate representatives from each station area.

Pursuant to a PNB rule, committee members are removed after three consecutive absences (except for the officers on the Coordinating Committee and the LSB Treasurers on the Finance Committee, who hold those positions with bylaws authority).  Meetings that fail to achieve quorum should keep a record of attendance so that vacancies may be claimed to have been created under the PNB rule and so eventually allow committee quorum to be achieved and business to be conducted.  Except for rare closed sessions dedicated to or predominantly regarding matters that may be handled as confidential under open meeting requirements, all PNB and PNB standing committee meetings are webstreamed.

Audit Committee
(Members of the PNB Finance Committee may not simultaneously serve on the PNB Audit Committee.  Under the California Nonprofit Integrity Act, staff may not serve on the Audit Committee.  A legal opinion is needed to determine if this prohibition extends to those that Pacifica calls "unpaid staff," since the restriction may only apply to employees of the Foundation.)
