March 10, 2024 Pacifica National Board Directors Report

On January 25th the 2024 Pacifica National Board directors from all 5 Pacifica stations: KPFA Berkeley; KPFT Houston; WBAI New York;  WPFW Washington DC and of course KPFK Los Angeles were seated.  Also seated were two directors representing over 200 Pacifica affiliate radio stations. 

The board met again on February 1st and 15th and March 7th.

Director Susan Young representing KPF T in Houston was elected to serve as Chair of the Pacifica National Board (PNB). Director Minerva Sanders representing Pacifica sister station WPFW in Washington DC was elected to serve as PNB Vice Chair.

 

Former PNB Chair Julie Hewitt also from WPFW in Washington DC was elected to serve as Secretary for the National Board and Kim Kaufman is now serving as Recording Secretary for the PNB.

 

On Feb. 1st the PNB met in both open and closed sessions. During open session the Board no motions were passed:

 

February 1, 2024 PNB Closed Session Report Out:

The PNB met in closed session to discuss confidential personnel information and constructive communications with one of our lenders. No decisions were made.

 

On Feb. 15th the PNB met in both open and closed sessions. During open session the Board took the following actions:

 

  •  Ratified the election of directors to 2024 PNB Standing Committees:

Coordinating Committee: Darlene Pagano (KPFA), Evelia Jones (KPFK), Egberto Willies (KPFT), Jim Dingeman (WBAI), Minerva Sanders (WPFW), Heather Gray (Affiliate WRFG fm Atlanta)

Governance Committee: Fred Dodsworth (KPFA), Jan Goodman (KPFK), Marianne Martinez (KPFT), Jim Dingeman (WBAI), Minerva Sanders (WPFW), Kaja Brown (KRDP 90.7 fm Phoenix, AZ)

National Finance Committee: Darlene Pagano (KPFA), Myla Reson (KPFK), Susan Young (KPFT), Paul DeRienzo (WBAI), Minerva Sanders (WPFW)

Audit Committee: Zach Kaldveer (KPFA), Evelia Jones (KPFK), Egberto Willies (KPFT), Jim Dingeman (WBAI), Irene Adams (WPFW)

 

  • Resolved to thank the directors and delegates who served on 2023 committees and task forces for their service and absolve and relieve them of further service effective immediately for any committees not approved by a motion of the 2024 PNB.

 

  • Resolved to stand up a PNB Personnel Committee.

 

  • A moment of silence was held for Lisa Lopez-Galvan who was shot and killed at the celebration for the Chiefs Super Bowl victory. Lisa was a beloved member of our Pacifica family. She hosted a show called Taste of Tejano on Pacifica Affiliate station KKFI in Kansas City.

 

February 15, 2024 PNB Closed Session Report Out:

The PNB met in closed session with its FCC council. The Executive Director will be working to address the Letter of Inquiry.

 

On March 7th the PNB met in both open and closed sessions. The Board adopted the following resolution moved by Harvey Wasserman and seconded by Jan Goodman:

 

  • The PNB resolves that when time allotted for an agenda item has run out, there is an automatic extension to exhaust the stack of hands already raised by those who have not yet spoken.

 

Pacifica Executive Director Stephanie Wells provided an update for the 2024 National Election Supervisor (NES) job opening. 

 

  • Pacifica received 5 applications for the position.
  • A spreadsheet comparing the qualifications and experience of each applicant is being created for fair review.
  • The NES cannot be hired until Pacifica receives funds from the close of escrow on the sale of the KPFK building.

 

March 7, 2024 PNB Closed Session Report Out:

The PNB met in closed session to address legal matters pertaining to the Pacifica Foundation response to the FCC Letter of Inquiry, and the future of the Pacifica Archives. The PNB made no decisions.

Pacifica National Board Motions on Terms for Those Elected in 2023 Elections 

Whereas there were insufficient funds to hold elections in 2022, which was year 2 of Pacifica’s 3-year election cycle in which half of the delegates would be elected;

Whereas the PNB passed a motion on October 20, 2022 providing that delegates whose terms would have ended in 2022 would continue to serve in 2023 if Pacifica failed to hold elections;

Whereas delegates whose terms would have ended in 2022 were either in their first term and therefore eligible to run again, or in their second term and therefore ineligible to run again, according to the Pacifica bylaws, and the delay from 2022 to 2023 in holding elections does not change that eligibility status;

Whereas Pacifica is in the midst of the election cycle for 2023, with the record period having passed, the period for candidate nomination having closed, the ballots not yet sent to members, and ballots slated to be sent to voters in the second half of August; and

Whereas it is important for voters to understand before they cast their votes the length of terms to which successful candidates would be elected and serve;

Therefore be it resolved that all candidates running in the 2023 delegate elections are running for two-year terms, and that the elections.pacifica.org website and the ballot shall reflect this information. Pacifica elections would return to the Article Four, Section 3 schedule of holding elections in years one and two and no elections in year three (i.e., elections in 2024 and 2025 but not in 2026).
